2、HINE-TOOL CO.(referred as Seller or Supplier),withits principal office located atJiangsu,China.本采购协议,连同所有展品、工作报表以及其他附件,以下简称“协议巴西有限公司,以下简称 买方 ,该公司总部位于巴西圣保罗市联合国大街和中国机床股份有限公司,以下称 卖方 或 供 应商”,其总部位于中国市工业园，签订于 年 月 日。In consideration of the mutual covenants set forth herein andother good and valuable consid

3、eration,the receipt of which ishereby acknowledged,the parties hereby agree as follows:本着平等互利互惠原则,特此达成如下约定:EQUIPMENTS:One(1)Steel Coil Line Processing Machine shallbe supplied by the Seller to the Buyer.The specification of theMachine shall be in accordance with Exhibit A of this Agreement.设 备:钢卷线加工

4、设备.1台由卖方向买方提供。设备的规格请参照本协议附录Ao1.DEFINITIONS 定义For purposes of this Agreement,the following definitions willapply:本协议将使用以下定义.1.1.Acceptance Testing will mean the demonstration that theEquipment operates to Buyer s satisfaction and in accordancewith the Specifications as more fully described in Exhibit

5、 A.验收测试”指设备操作能使买家满意并与附录A规范描述相符的示范。1.2 Equipment or Machine will mean the equipment meeting theSpecifications along with any services,including design,development,shipping and installation services,as described inan Exhibit A.设备 或 机器”指该设备在各项服务方面,包括设计、开发、运输、安装服务中须如附录A所描述的符合技术规范。1.3 Price will mean the

6、 price listed in Exhibit A.Unlessotherwise stated,the Price will include all costs of manufacturing,packaging,crating,freight(per article 2.4),start-up andinstallation at Buyers facility,along with any training and testingrelated to the Equipment.“价格 指附录A所列的价格除非另有说明外。价格将包括关联此设备的制造、包装、装箱、货运（根据第2.4款,、

9、 for the full performanceof this Agreement in accordance with the terms hereof.The Pricefor the Machine in total will be US$with payments made asdescribed in Exhibit A.价格。在履行完本协议所规定的的全部内容,买方将支付卖方相关费用。根据附录A所 述,该设备总价是美圆 元。2.2 Subcontractors.Seller will be responsible for the hiring ofand payment to,an

13、andocument confirming the delivery of the Machine on board ofthe indicated ship;and(b)the origin certificate.If requested bythe Buyer,the Seller shall provide with all assistance in obtainingany documents issued in the country of manufacture that theBuyer may need for the purposes of importation.相关文

15、 完成进度3.1.rime of the Essence.Time of shipment and of other aspectsof performance hereunder is of the essence of this Agreement.时间节点.装船日期以及协议提到的相关时间节点。3.2 Performance Schedule.Seller will submit a performanceschedule designating the order in which Seller proposes tooverhaul the Equipment per Exhibit

16、A,the dates on which it willstart the various portions of the Equipment and the completiondate of the Equipment.Such schedule will be prepared to a levelof detail suitable for managing all activities associated with theEquipment by Seller and Subcontractors.进度安排。卖方将提交一份进度安排来阐明检修附录A里面设备的顺序,设备各部分的开工日期

18、costs or time ofperformance of this Agreement,Seller will notify Buyerimmediately and negotiate an adjustment.技术规范条款的更改.买方有权在任何时间以书面形式通知卖方更改技术规范条款,卖方须同意遵循此类修改。如果更改造成卖方原材料的增加或者减少以及履行本协议时间的增减,卖方须立即通知买方共同商议作相应变更。5.TERM AND TERMINATION 期限与终止5.1.Ferm.This Agreement shall be valid as of the execution date

19、and shall be remain in full force and effect for the term of theduration of the warranty of the Equipment,excepting in relationto Clause 9,which effects shall be valid for undetermined term.期限。本协议有效期为实行起始日到设备维护期的结束,除相应第9款规定的未定期限。5.2.Breach.In the event of a breach of any provision of thisAgreement,t

20、he infringing party must pay to the other party thenon-compensatory penalty in the amount corresponding to 5%(five per cent)of the total value of the Agreement,in addition tothe possibility of termination hereinbelow,at the prejudicedpartyDs discretion.The penalty is applicable without prejudice ofe

21、ventual losses or damages that the prejudiced party may haveright.违约责任。如发生违反本协议任何条款的情况,违反方必须向另一方支付非补偿性罚款,数额相当于协议的价格总额的百分之五(5%),止 匕 外,受 损方有终止协议的可能性。处罚不应对违约方造成的最终损失或者破坏有任何偏见。6.PROJECT SPECIFICATION AND DRAWINGS 工程技术要求和图纸6.1.Drawings and Manuals.Seller will furnish to Buyer aminimum of four(4)copies of

22、 all Equipment drawings andmaintenance/repair manuals,and other items required by thisAgreement.Information handbooks:Operation,Maintenance,Mechanical and Electrical Parts,Spare parts,InstallationProcedures and Set up,Troubleshooting Guide,MachineDrawings,PLCs,electrical wiring diagram,pneumatic and

23、hydraulic diagrams,etc.must be sent in paper(3 copies)andeither magnetic or optical media.Handbook languages must beEnglish and Portuguese.Handbooks must be sent 30/45 daysafterthe purchase order is issued.图纸和维修手册。卖方应向买方提供至少4份所有设备图纸和维修手册以及其他协议所要求内容的复印件。操作手册,操作、维护、机械和电子部分、配件、安装和启动程序、故障排除、机械图纸、PLCs、电路

24、图、气压水表等必须以纸质提供一式3份或者以方式提供。手册须提供英语和葡萄牙语版 本,且在买卖合同生效后30至4 5内送交买方。6.2 Safety Requirements:CE Certification or equivalent.安全要求:CE证书或相等证书7.WARRANTIES 质保7.1 Defects.For a period of twelve(12)months after thecompletion of the Acceptance Testing,Seller warrants that theEquipment performed by the Seller or b

25、y its Subcontractors willbe free from defects in material and workmanship and performin accordance with the Specifications.In addition,Seller warrantsto Buyer that the Equipment will be installed in a workmanlikemanner,free from defects and in accordance with theSpecifications.In the event that duri

26、ng the warranty period anyEquipment or component breaches or fails to perform inaccordance with the warranty provided hereunder,Seller will beresponsible and remedy or cause to be remedied such breach,replacing the materials,components and parts,if necessary,atno cost to Buyer.The warranty shall not

27、 cover the failures due tomisuse or normal wear and tear.缺陷.根据协议规定完成接受测试后 的12个月内,卖方须确保自己或者分包商提供的设备在材料、操作方面没有任何缺陷。另外卖方须按照协议保证设备的安装符合相关标准无任何缺陷。在质保期内,发生任何设备或组件无法按照本协议正常工作,卖方将自身承担费用负责补救或更换材料、组件和零件。质保范围不包括错误操作或正常磨损产生的故障。7.2 Title.Seller warrants that the Equipment will be delivered toBuyer free and clear

28、 of all liens and encumbrances,except forany such lien created or permitted by Buyer.Seller at its cost willimmediately discharge any competing claims with respect to theEquipment.标题。卖主保证设备将任意和清楚地被交付到买家所有先得权和阻碍,除了 Buyer创造或允许的任何如此先得权。它的费用的卖主将立刻释放所有竞争的要求关于设备。7.3 Compliance with Law.Seller warrants tha

29、t all work performedby Seller will comply with allapplicable Brazilian laws.Seller will obtain all permits necessaryfor its performance hereunder.Ifprior to,or upon,completion of the Acceptance Testing,theEquipment is held to violate any regulations and/or codes,Seller,at no cost to Buyer,will modif

30、y the Equipment so that theEquipment will comply with such regulations and codes.遵守法规.卖方应保证自己所有工作遵守巴西法律。卖方将取得工作所需要的必要许可。在完成验收测试之时或者之前,设备与相关法规和/或代码不符,由卖方承担费用根据与设备相符的法规和代码对设备进行更改。7.4 Buyer Repairs.In the event Seller fails to fully and promptlyproceed to cure or repair any breach of the foregoing warr

31、anties,Buyer may,but not be obligated to,in addition to any right orremedy to which it is entitled,including but not limited to,theright of specific performance,cure and repair such breach atSeller s cost without voiding or affecting any warranties or anyother Buyer s rights or remedies in this Agre

32、ement.买方维修.若卖方未能充分且及时对违反质保的行为进行更改或修复,买方有权但没有义 务,包括但不限于,在卖方承担费用和不影响卖方提供质保的情况下对违反本协议权利的行为进行更改或者修复。7.5 Spare Parts.Seller will provide or cause to be provided toBuyer any and all necessary parts for the operation of theEquipment.If so requested,Seller will provide Buyer with acurrent inventory list of

33、spare parts maintained by Seller.Inaddition,Seller will use good faith efforts to provide spare partsfor a period of at least five(5)years after completion of thewarranty period in Section 7.1.配件.卖方应向买方提供设备操作所必需的配件。根据此要求,卖方须向买方提供卖方维护设备现状配件目录表。另 外,卖方应该根据条款7.1尽量提供维护期结束后至少5年所需的配件。8.INDEMNIFICATION/INSU

34、RANCE 赔偿和保险8.1.Patent Indemnity.Seller agrees to indemnify,save harmlessand defend Buyer from and against any and all suits,claims,damages,costs,and attorneys fees arising out of or inconnection with any infringement or claimed infringement ofany patent,trademark or copyright in the manufacture,use

35、orsale of the Equipment or any other materials furnished underthis Agreement.专利补偿。根据协议规定,在生产、使用、销售本设备或相关材料中,卖方应为买方赔偿、保证无害、确保买方不受因侵权或被声称侵犯商标版权等专利纠纷引起的任何诉讼、索赔、损失、花费和律师费。8.2 Insurance.Supplier undertakes to take out and maintainadequate insurance cover against the risks as contemplated inthis Agreement

36、 and all other risks normally insured against bycompanies carrying on the same or a similar business asSupplier.保险.卖方应为本协议所存在的危险以及卖方公司进行日常生产所存在的危险实行和维持保险。9.CONFIDENTIALITY 保密条款9.1 Seller s Requirements.Seller agrees to keep all Buyertechnical and business information secret and not to reveal or todi

37、vulge the information to third parties or to use or to publish itany manner whatsoever without the prior written approval byBuyer,provided,however,that Seller will not be bound to keepsecret information which(a)was known to Seller prior to the date of this Agreement fromsources other than Buyer with

38、out an obligation ofconfidentialtiy,(b)is or becomes available to the public without fault on Sellers part,(c)is disclosed to Seller by a party not related,directly orindirectly to Buyer who has a rightful claim to such informationand is under no obligation of confidentiality to Buyer.Seller willonl

39、y use Buyer s technical and business information inconnection with the performance of its obligations hereunder.The foregoing obligations will remain in effect for undeterminedterm,except if the Buyer agrees in writing to permit release ofsuch information.对卖方的要求.卖方必须为买方的技术和商业信息保密不向第三方透露或者泄露信息,在事先未得到

40、买方同意不使用也不以任何形式出版相关信息,以下情况除外在签署本协议前从不是买方的另外地方得到的信息,卖方没有保密的责任(b)并不是由于卖方的原因而为公众所获知 由与买方无直接和间接关系的或者对买方无保密责任的某一方提供给卖方。卖方只能在遵守保密责任下使用买方的技术和商业信息。上述责任将永久有效,除非有买方提供书面说明该信息可以公开。10.GENERAL TERMS 普通条款10.1.Governing Law.This Agreement will be governed andconstrued in accordance with the laws of the country of BR

41、AZIL.政府法律本协议受巴西法律管辖并据以解释。10.2 Force Majeure.Seller will not be responsible forunforeseeable delays in the performance of the Agreement notreasonably avoidable by Seller and resulting in whole or partfrom causes beyond Seller s control,including acts of God(i.e.storms,floods,or other unforeseeable we

42、ather conditions).IfSeller is adversely affected by a delay beyond its control asdescribed herein,the time of completion may be extended bythe Buyer accordingly,provided,however,that Seller will,withinthree(3)days from the beginning of any such delay,notify Buyerin writing of the causes of delay and

44、ce Majeure event continues,or isanticipated to continue,for a period in excess of thirty(30)days,Buyer,by written notice to Seller,will have the right to terminatethis Agreement and all monies paid will be returned to Buyer,except that Seller will be entitled to receive payment for laborand material

45、s used for the Equipment prior to the terminationand Buyer and Seller will have no further obligation to eachother.在七个工作日内,双方同意由买方和卖方约定,买方可以书面形式延长了设备完工时间。如果不可抗力事件持续,或预计将继续下 去,超过买方期限三十天,卖方有权以书面通知终止本协议及将所有支付的款项退还给买方,但卖方将有权获得劳动和设备之 前,终止买方使用并要求对方归还材料。11.TESTING AT THE SUPPUERS PREMISES 在卖方的现场测试11.1 When

46、 the production of the Machine has been completed,the Supplier shall proceed to test them in its own factory.Asuccessful outcome to these tests will make the Machine readyfor delivery.当本设备完成时,卖方应事先在自己厂里进行测试。只有当测试结束比较令人满意,本设备才能进入被送交状态。11.2 The tests shall be carried out by members of the Supplierssta

47、ff,using raw materials provided by the Buyer,which complywith the specifications indicated in this contract.该测试须由供货商工作人员使用买方提供符合合同规定技术要求的原材料进行12.ARBITRATION 仲裁The parties will attempt in good faith to resolve any controversyrelated to this Agreement by mutual negotiation.In the eventthe controversy

48、is not settled by mutual negotiation,it shall besettle by arbitration in accordance with the rules of Conciliationand Abitration Chamber of S.o Paulo.双方应努力就协议所涉及的矛盾进行商议。如果商议实在不能解决问 题,将根据圣保罗宪法和仲裁部的相关规定提请仲裁。The language of the arbitration shall be Portuguese,in theCapital of the State of S.o Paulo,Bra

49、zil,and the arbitrationtribunal shall consist of three(3)arbitrators,of whom one(1)shall be nominated by the Seller and oen(1)by the Buyer,withinten(10)days as of the beginning of the arbitration procedure.The third arbitrator shall be chosen by the two(2)party-nominated arbitrators,within three(3)d

50、ays of the date thelast party nominated arbitrator has been designated.In theevent the arbitrators are not nominated as mentionedhereinabove,they shall be nominated by the rules of theConciliation and Arbitration Chamber of S.o Paulo-FIESP.仲裁使用语言为葡萄牙语,地点是在巴西的圣.保罗。仲裁委员会 有3名仲裁员,其中买方和卖方在仲裁开始的10天内各指定一名仲
