3、(Issued by Order No. 77 of The State Administration for Market Regulatory on May 18, 2023 and shall come into force on July 1,2023)Article 1 These Measures are developed for the purposes of maintaining the order of the market economy and safeguarding the national interests, public interests and legi
4、timate rights and interests of consumers in accordance with the Civil Code of the Peoples Republic of China, the Law of the Peoples Republic of China on the Protection of Consumer Rights and Interests and other relevant laws and regulations.Article 2 The market regulatory departments shall, in accor
5、dance with the provisions of laws, administrative regulations and these Measures, carry out the administrative supervision and administration of contracts within the scope of duties.Article 3 The market regulatory departments carrying out administrative supervision and administration of contracts sh
6、all insist on the principles of combining supervision and guidance, and combining punishment and education.Article 4 Operators entering into contracts shall follow the principles of equality, willingness, fairness and good faith, and shall neither violate the provisions of laws and administrative re
7、gulations, nor utilize contracts to conduct acts of endangering national interests, social public interests and legitimate rights and interests of consumers.Article 5 Operators shall not utilize contracts to conduct the following illegal acts to disturb the order of the market economy, endanger nati
8、onal interests and social public interests:(1) Fabricating a contracting party, or concluding a contract in another persons name without authorization or by falsely using another persons name.(2) Inducing the other party to conclude a contract without actual ability of performance.第二条市场监督管理部门 根据法律、行
9、政法规和本办法的 规定,在职责范围内开展合同行 政监督管理工作。第三条市场监督管理部门 开展合同行政监督管理工作,应当坚持监管与指导相结合、处罚 与教育相结合的原则。第四条经营者订立合同应 当遵循平等、自愿、公平、诚信 的原则,不得违反法律、行政法 规的规定,违背公序良俗,不得 利用合同实施危害国家利益、社 会公共利益和消费者合法权益的 行为。第五条经营者不得利用合 同从事下列违法行为,扰乱市场 经济秩序,危害国家利益、社会 公共利益:(一)虚构合同主体资格或者盗 用、冒用他人名义订立合同;(二)没有实际履行能力,诱骗 对方订立合同;(三)故意隐瞒与实现合同目的 有重大影响的信息,与对方订立(
10、3) Concluding a contract with the other party by intentionally concealing information that has amaterial impact on the realization of the purpose 合同; of the contract.(4) Concluding a contract by malicious collusion, bribery, coercion, and other means.(5) Other acts that use a contract to disrupt the
11、 order of the market economy.Article 6 An operator entering into a contract with a consumer by using standard clauses shall draw the consumers attention to the goods or services* quantity and quality, price or cost, time and method of performance, safety precautions and risk warnings, after-sales se
12、rvice, civil liability and other contents of major interest to the consumer by separate notice, bold font, popup window, and other significant means, and make an explanation as required by consumers.Notices, declarations, and shop notices, among others, prescribing the rights and obligations of both
13、 parties to a contract prepared in advance by the operator shall be regarded as standard clauses.Article 7 When an operator concludes a contract with a consumer, it shall not mitigate or exempt its liability by utilizing standard clauses or other means. The standard clauses shall not contain the fol
14、lowing contents:(四)以恶意串通、贿赂、胁迫 等手段订立合同;(五)其他利用合同扰乱市场经 济秩序的行为。第六条经营者采用格式条 款与消费者订立合同,应当以单 独告知、字体加粗、弹窗等显著 方式提请消费者注意商品或者服 务的数量和质量、价款或者费 用、履行期限和方式、安全注意 事项和风险警示、售后服务、民 事责任等与消费者有重大利害关 系的内容,并按照消费者的要求 予以说明。经营者预先拟定的,对合同双方 权利义务作出规定的通知、声 明、店堂告示等,视同格式条 款。第七条经营者与消费者订 立合同,不得利用格式条款等方 式作出减轻或者免除自身责任的 规定。格式条款中不得含有以下 内
15、容:(一)免除或者减轻经营者造成 消费者人身伤害依法应当承担的 责任;(1) Exempting or mitigating the legal liability to be assumed by an operator according to the law for causing personal injury to a consumer.(2) Exempting or mitigating the liability to be assumed by an operator according to the law for causing property losses to a
16、consumer due to intent or gross negligence.(3) Exempting or mitigating liability of repair, rework, replacement, return, making up the quantity of goods, and refund of goods payment and service charges to be assumed by an operator for the commodities or services provided by it according to the law.(
17、4) Exempting or mitigating liability for breach of contract to be assumed by an operator according to to law.(5) Exempting or mitigating liability the obligations of assistance, notification, confidentiality, etc. to be performed by an operator according to the nature and purpose of the contract.(6)
18、 Other contents that exempt or mitigate an operators liability.Article 8 When entering into a contract with a consumer, an operator shall not set forth provisions on increasing liability of consumers, or excluding or restricting rights of consumers by utilizing standard clauses or by other means. Th
19、e standard clauses shall not contain the following contents:(二)免除或者减轻经营者因故 意或者重大过失造成消费者财产 损失依法应当承担的责任;(三)免除或者减轻经营者对其 所提供的商品或者服务依法应当 承担的修理、重作、更换、退 货、补足商品数量、退还货款和 服务费用等责任;(四)免除或者减轻经营者依法 应当承担的违约责任;(五)免除或者减轻经营者根据 合同的性质和目的应当履行的协 助、通知、保密等义务;(六)其他免除或者减轻经营者 自身责任的内容。第八条经营者与消费者订 立合同,不得利用格式条款等方 式作出加重消费者责任、排除或
20、者限制消费者权利的规定。格式 条款中不得含有以下内容:(一)要求消费者承担的违约金 或者损害赔偿金超过法定数额或 者合理数额;(1) Requiring a consumer to assume liquidated damage or compensation for damage which exceeds the statutory or reasonable amount.(2) Requiring a consumer to assume business risks to be assumed by an operator according to the law.(3) Excl
21、uding or restricting the right of a consumer to independently choose commodities or services according to the law.(4) Excluding or restricting a consumers right to modify or terminate a contract according to the law.(5) Excluding or restricting a consumers right to request payment of liquidated dama
22、ge or compensation for damage according to the law.(6) Excluding or restricting the rights of a consumer to file complains, tip off, request for mediation, apply for arbitration, or institute litigations according to the law.(7) The operator unilaterally has the right of interpretation or the final
23、interpretation right.(8) Other contents that increase a consumers responsibility, exclude or restrict a consumers rights.Article 9 Where an operator uses standard clauses to conclude a contract with a consumer, it shall not use standard clauses or force transactions by virtue of technical means.(二)要
24、求消费者承担依法应当 由经营者承担的经营风险;(三)排除或者限制消费者依法 自主选择商品或者服务的权利;(四)排除或者限制消费者依法 变更或者解除合同的权利;(五)排除或者限制消费者依法 请求支付违约金或者损害赔偿金 的权利;(六)排除或者限制消费者依法 投诉、举报、请求调解、申请仲 裁、提起诉讼的权利;(七)经营者单方享有解释权或 者最终解释权;(八)其他加重消费者责任、排 除或者限制消费者权利的内容。第九条经营者采用格式条 款与消费者订立合同的,不得利 用格式条款并借助技术手段强制 交易。第十条市场监督管理部门 引导重点行业经营者建立健全格 式条款公示等制度,引导规范经Article 10
25、 The market regulatory departments shall guide operators in key industries to establish and improve the system of publicity ofstandard clauses, guide and standardize operators contractual behaviors, and enhance consumers* legal awareness of contracts.Article 11 When a contract is concluded between a
26、n operator and a consumer, it shall generally include the main contents stipulated in paragraph 1 of Article 470 of the Civil Code of the Peoples Republic of China, and specify the main rights and obligations of both parties.Where an operator concludes a contract with a consumer in writing, not less
27、 than one copy of the written contract signed by both parties shall be delivered to the consumer for preservation.Where an operator concludes a contract in electronic form, it shall clearly, comprehensively and clearly notify the consumer of the steps, precautions, downloading methods and other matt
28、ers concerning conclusion of the contract, and ensure that the consumer may conveniently and completely read and download it.Article 12 No entity or individual shall provide certificates, seals, accounts or any other convenient conditions for illegal acts prohibited by these Measures while it knows
29、or should have known the situation.Article 13 The market regulatory departments at or above the provincial level may, in accordance with relevant laws and regulations, jointly develop model contract texts for specific industries or fields in conjunction with relevant departments.营者合同行为,提升消费者合同 法律意识。
30、第十一条经营者与消费者 订立合同时,一般应当包括中 华人民共和国民法典第四百七 十条第一款规定的主要内容,并 明确双方的主要权利和义务。经营者采用书面形式与消费者订 立合同的,应当将双方签订的书 面合同交付消费者留存,并不少 于一份。经营者以电子形式订立合同的, 应当清晰、全面、明确地告知消 费者订立合同的步骤、注意事 项、下载方法等事项,并保证消 费者能够便利、完整地阅览和下 载。第十二条任何单位和个人 不得在明知或者应知的情况下, 为本办法禁止的违法行为提供证 明、印章、账户等便利条件。第十三条省级以上市场监 督管理部门可以根据有关法律法 规规定,针对特定行业或者领 域,联合有关部门制定合
31、同示范 文本。in根据前款规定制定的合同示范文The model contract text developedaccordance with the provisions of the preceding paragraph shall be voluntarily disclosed for the public to read, download and use free of charge.Article 14 The model contract text is for reference of the parties. The specific rights and obligat
32、ions of the parties to a contract shall be agreed upon by the parties themselves. The parties may modify, supplement and improve the relevant clauses in the model contract text.Article 15 Where a contract is concluded, mutatis mutandis to, the model contract text, the parties shall fully understand
33、the contract clauses and assume the legal consequences arising from the conclusion and performance of the contract.Article 16 The market regulatory departments at or above the provincial level may set up an expert review committee for administrative supervision and administration of contracts, and i
34、nvite experts in relevant fields to participate in the review of standard clauses and the development of model contract texts.Article 17 The market regulatory departments at or above the county level may take the following measures in accordance with law when investigating into and dealing with cont
35、ract acts suspected of violating these Measures:(1) Conducting on-site inspection of the business premises related to suspected violations of the contract.本,应当主动公开,供社会公众 免费阅览、下载、使用。第十四条合同示范文本供 当事人参照使用。合同各方具体 权利义务由当事人自行约定。当 事人可以对合同示范文本中的有 关条款进行修改、补充和完善。第十五条参照合同示范文 本订立合同的,当事人应当充分 理解合同条款,自行承担合同订 立和履行所发
36、生的法律后果。第十六条省级以上市场监 督管理部门可以设立合同行政监 督管理专家评审委员会,邀请相 关领域专家参与格式条款评审、 合同示范文本制定等工作。第十七条县级以上市场监 督管理部门对涉嫌违反本办法的 合同行为进行查处时,可以依法 采取下列措施:(一)对与涉嫌合同违法行为有 关的经营场所进行现场检查;(二)询问涉嫌违法的当事人;(2) Questioning parties suspected of violating the law.(3) Investigating into the natural persons, legal persons and unincorporated o
37、rganizations involved in the suspected contract violation.(4) Consulting, acquiring and copying contracts, bills, account books and other materials related to suspected illegal acts.(5) Other measures that may be taken as provided for by laws and regulations.Where the adoption of the measures prescr
38、ibed in the preceding paragraph requires approval according to the law, approval formalities shall be undergone.The market regulatory departments and their staff members shall keep confidential the state secrets, trade secrets or personal privacy known in the course of performing their relevant work
39、 duties.Article 18 Where an operator violates the provisions of Article 5, paragraph 1 of Article 6, Articles 7, 8, 9, and 12 of these Measures, and there are provisions in laws and administrative regulations, such provisions shall apply; and in absence of such provisions, the market regulatory depa
40、rtment at or above the county level shall order correction within a prescribed time limit, and give a warning, and may impose a fine of not more than 100,000 yuan upon it.(三)向与涉嫌合同违法行为有 关的自然人、法人和非法人组织 调查了解有关情况;(四)查阅、调取、复制与涉嫌 违法行为有关的合同、票据、账 簿等资料;(五)法律、法规规定可以采取 的其他措施。采取前款规定的措施,依法需要 报经批准的,应当办理批准手 续。市场监
41、督管理部门及其工作人员 对履行相关工作职责过程中知悉 的国家秘密、商业秘密或者个人 隐私,应当依法予以保密。第十八条经营者违反本办 法第五条、第六条第一款、第七 条、第八条、第九条、第十二条 规定,法律、行政法规有规定 的,依照其规定;没有规定的, 由县级以上市场监督管理部门责 令限期改正,给予警告,并可以 处十万元以下罚款。第十九条合同违法行为轻 微并及时改正,没有造成危害后 果的,不予行政处罚;主动消除Article 19 Where the contract violation is minor and corrected in a timely manner, and no harmf
42、ul consequences have been caused, noadministrative penalty shall be imposed; and those who take the initiative to eliminate or mitigate the consequences of harm shall be given lighter or mitigated administrative penalty.Article 20 After a market regulatory department makes a decision on administrati
43、ve penalty, it shall publicize it to the public through the National Enterprise Credit Information Publicity System in accordance with the law.Article 21 Whoever violates the provisions of these Measures and constitutes a crime shall be held criminally liable in accordance with the law.Article 22 Th
44、e market regulatory department shall carry out administrative supervision and administration of contracts in accordance with these Measures, and shall not confirm the civil legal effect of the contract, which shall not affect the civil liability of the parties to a contract, except as otherwise pres
45、cribed by the laws and administrative regulations.或者减轻危害后果的,从轻或者 减轻行政处罚。第二十条市场监督管理部 门作出行政处罚决定后,应当依 法通过国家企业信用信息公示系 统向社会公示。第二H条 定,构成犯罪而, 责任。违反本办法规依法追究刑事第二十二条市场监督管理 部门依照本办法开展合同行政监 督管理,不对合同的民事法律效 力作出认定,不影响合同当事人 民事责任的承担。法律、行政法 规另有规定的,依照其规定。第二十三条本办法自2023 年7月1日起施行。2010年10月 13日原国家工商行政管理总局令 第51号公布的合同违法行为监 督处理办法同时废止。Article 23 These Measures shall come into force on July 1,2023, upon which the Measures for the Supervision and Handling of Contract- related Violations issued by the former State Administration for Industry and Commerce via Order No. 51 on October 13, 2010 shall be repealed.
