1、赞助协议SPONSORSHIP AGREEMENT甲方：Party A:乙方：Party B:双方经友好协商，达成协议如下：The Parties agree as follows through friendly consultation:1. 合作内容。甲方将授予乙方年度【赛事名称】(“赛事”)相关的、如附 件1所规定的权益。作为附件1中授予的乙方权益的对价，乙方授予甲方如附 件2所示的权益。Content of Cooperation. Party A shall grant the rights and benefits in relation to (Event) set out i

In consideration of the grant of Parly Bs rights and benefits as set out in Schedule 1, Party B shall grant the rights and benefits set out in Schedule 2 to Party A.2. 期限。本协议应自签字盖章之日起具有完全的法律效力并且应持续有效直至本 协议项下全部义务充分履行完毕。Term. The Agreement shall take into full legal effect on

Party B acknowledges and agrees that, other than

4、as expressly set out in this Agreement. Party B shall not obtain any right to use the Event Name, Event Emblems, and other intellectual property rights of Party A. Party A acknowledges and agrees that, other than as expressly set out in this Agreement, any use by Party A of Party Bs name or logo(s)

5、shall be subject to the Party Bs prior written approval, which shall not be unreasonably withheld or delayed.4. 非排他性。本协议中甲方授予乙方的任何权益均为非排他的，甲方有权与其他 赞助商签订赞助协议并提供和取得类似的权益。Non-Exclusive. Any rights and benefits granted by Party A to Party B herein shall be non-cxclusivc. Party A shall have the right to

6、enter into sponsorship agreement with other sponsors and grant and obtain similar rights and benefits thereto.5. 责任限制。尽管本协议有其他规定，任何一方不应就与本协议相关的间接或后 果性的损失向另一方承担责任，无论是基于侵权、合同或其他原因，并且每一 方对于本协议相关的任何损失承担责任的最大限额应不超过本协议项下双方合 作的标的总额。Limitations of Liability. Notwithstanding anything else contained in this A

7、greement, neither Party shall be liable, whether in tort, contract or otherwise, to the other Party for any indirect or consequential loss in connection with this Agreement and the maximum aggregate liability of each Party for any loss in respect of this Agreement shall not exceed the total amount o

8、f consideration received by the Parties.6. 保密。在本协议期限以及本协议到期后的所有时间内，双方应为在本协议期限 内其可能掌握到或知晓的另一方的商业或事务信息和文件(“保密信息”)保 密，在未经另一方书面批准的情况下不得将保密信息用于非本协议预定的目的, 也不得向任何第三方披露保密信息，除非是向双方各自的法律顾问、会计和其 他专业顾问披露保密信息且该等人员遵守本条所述的保密承诺。Confidentiality. The Parties shall during the term of this Agreement, and at all times t

9、hereafter, maintain the secrecy and confidentiality of, and not without the written consent of the other Party use for any purpose other than contemplated under this Agreement or disclose to any third parly, the information and documentation concerning or relating to the business or affairs of the o

10、ther Party which may come into its possession or knowledge during the term of this Agreement (Confidential Infbrmation). Each Party may, however, disclose the Confidential Information to its legal advisors, accountants and other professional advisors, provided such persons comply with the undertakin

11、gs of confidentiality in this Clause.7. 违约责任。任何违反本协议的一方均应向另一方承担违约责任，并应赔偿另一 方因其违约所引起的经济损失，包括但不限于直接经济损失，因第三方索赔所 支付的赔偿金，因解决争议而产生的律师费、财产保全费、诉讼费用、公证费 和其他相关费用。Liability for Breach. Eilher Party in breach of this Agreement shall assume Ihe liabilities for breach to the other Party and shall indemnify the o

12、ther Party for the economic loss arising from its breach, including without limitation to direct economic loss, damages paid in connection with claims made by third parties, attorneys fee, property preservation fee, litigation fee, notarization fee and other relevant fees arising from resolution of

13、disputes.8. 不可抗力。如任何一方因任何不可抗力事件无法履行或遵守本协议的任何规定, 其履行或遵守此类规定的义务应暂停，直到该等事件或情形不再妨碍其履行本 协议下的此类规定，前提是其应立即通知另一方该等不可抗力事件的性质和程 度，且应尽一切合理努力补救该等不可抗力事件所造成的影响。Force Majeure. If either of the Parlies shall be prevented from performing or observing any of the provisions of this Agreement by reason of any force maj

14、eure event, the obligation of the affected Parly to perform or observe such provision of this Agreement shall be suspended until such event or circumstance ceases to prevent the affected Party from performing such provision of this Agreement, provided that the affected Party shall promptly notify th

15、e other Party of the nature and extent of the force majeure event and shall use all reasonable endeavours to remedy the effect of such force majeure event.9. 法律适用和争议解决。本合同受中华人民共和国法律管辖并依照其进行解释。凡因本合同引起的或与本合同有关的任何争议，双方应协商解决。如果协商解 决不成，则应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会现行有 效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。Governing

16、 Law and Dispute Resolution. This Contract shall be governed by and construed in accordance with the laws of the Peoples Republic of China. Any dispute arising from, out of, or in connection with, this Contract shall be settled by the Parties through friendly consultation. If the dispute cannot be s

17、ettled through consultation, the Parties shall submit the dispute to China International Economic and Trade Arbitration Commission (CIETAC) fbr arbitration which shall be conducted in accordance with the CIETACs arbitration rules in effect at the time of applying for arbitration. The arbitral award

18、is final and binding upon both parties.10. 其它。本协议附件构成本协议的一部分，与本协议所列条款具有同等效力。除 非通过书面方式并由双方或双方代表适当签署，木协议不得被修改。本协议是 仅针对双方，除非经另一方事先书面同意，否则任何一方不得全部或者部分转 让本协议。本协议由英文和中文两种语言拟就，将签署一式两份，双方各执一 (1)份。两种语言版本发生冲突时，中文版本应优先适用。Miscellaneous. The schedules are part of this Agreement and are equally authentic with the

19、 clauses stipulated in this Agreement. This Agreement shall not be amended except in writing duly signed by or on behalf of each of the Parties. This Agreement is personal to the Parties and shall not be assigned in whole or in part by either Party unless the other Party gives its prior written cons

20、ent. This Agreement is made in both English and Chinese language and shall be executed in duplicate with one (1) copy set for each Party. 23、g rights and benefits to Party A:Note:在此处写明赞助商提供给甲方的权益。需注意，如赞助商提供的为赞助费用 时，应在条款中写明赞助费用支付时间、净值金额、支付方式，逾期违约责任、甲 方具体账户、是否开具发票等；如赞助商提供赞助物品时，应在条款中写明物品的 规格、数量、质量、包装方式、所值金额、提供方式、验收货物、交付地点、交付 时间等；如赞助商提供赞助资源，根据具体情况，写明赞助资源的具体细节。2 .乙方义务Party Bs Obligation1.1 乙方承诺并保证，乙方提供的赞助物品/赞助资源拥有相关的生产许可，符合中华人 民共和国产品质量法、关于质量、

24、包装以及标识的相关法律法规以及中华人民共和 国相关国家标准和/或行业标准的要求/具有专业水平，符合相同或类似服务行业内 普遍接受的标准和做法以及所有适用的法律法规。Party B undertakes and warranties that the Sponsorship Items / Sponsorship Resources supplied by Party B have relevant production permissions and are conform to the requirements of the Product Quality Law of the PRC an

25、d relevant laws and regulations concerning quality, packaging and logo and relevant national standards and/or industry standards of the PRC and or shall be of professional qualityconform to generally accepted standards and practices for same or similar service industries as well as all applicable la

26、ws and regulations.1.2 乙方承诺对因甲方使用赞助物品/赞助资源所引起的或当甲方在本协议期限内将赞助 物品/赞助资源提供给任何第三方，因该等第三方使用赞助物品/赞助资源所引起的 一切争议和赔偿承担责任，包括但不限于产品质量/安全责任争议和相关的赔偿。如 果甲方参与了争议解决或由于不可归咎于甲方的原因承担了赔偿责任，乙方应使甲 方不受损害、足额补偿甲方，包括甲方实际支付的赔偿数额和由于甲方参与相关争 议解决和/或诉讼而产生的合理费用。Party B undertakes to be responsible for all disputes and indemnities, i

27、ncluding but not limited to product and or safety liability disputes and relevant indemnities, arising out of the use of the Sponsorship Items / Sponsorship Resources by Party A or by any third party where such third party is provided with the Sponsorship Items / Sponsorship Resources by Party A dur

28、ing the term of this Agreement. If Party A were involved in the dispute resolution or took any indemnity liabilities due to reasons not attributable to Party A, Party B shall hold Party A harmless and make sufficient compensation to Party A, including the indemnities actually paid by Party A and rea

29、sonable expenses incurred by Party A in relation to the relevant dispute resolutions and/or litigations.1.3 乙方承诺自负费用向甲方指定的地点交付赞助物品/赞助资源。Party B undertakes to deliver the Sponsorship Items and or Sponsorship Resources at its own cost to the place designated by Party A.1.4 乙方服务团队人员在赛事现场提供服务时，须遵守赛事、场地及

30、甲方的所有适用的 规章制度，不得在现场造成任何非法、危险、不安全的情况存在。乙方应当对其提 供服务的人员的安全负责并为其购买并维持相应保险。如果该等人员不具有相应的 保险或保险不足以赔偿其在提供本协议项下服务的过程中遭受的伤害或损害，相应 的责任由相关过错方按照法律规定承担，乙方不得因此基于本协议直接向甲方提出 任何主张。When providing the on-site services at the Tournament venue, the personnel of Party Bs Service Team shall comply with all applicable regul

31、ation and rules of the Tournament, the venue and Party A and shall not cause any illegal, hazardous or unsecure conditions. Party B shall be responsible for the safety of its personnel providing the Services and shall buy and maintain corresponding insurances for such personnel. In the case that any

32、 member of the Service Team could not be fully compensated fbr his/her injury/damage if suffered in the course of providing Services hereunder due to the lack/insufficiency of insurances, the relevant responsibility shall be borne by corresponding tort-feasor as regulated by laws. Party B shall directly raise any claim against Party A fbr the above on the basis of this Agreement.
