1、一家以色列公司的保密协议本协议订立于 2003 年 _ 月 _ 日，双方当事人为：依照以色列法律设立的 A公司，营业地为以色 _（以下简称 A）；依照 _法律设立的 _公司，注册地为 _(以 下简称 公司 )。鉴于：A自主开发并拥有一系列软硬件产品及无线电设备扩展技术（以下简称 产品 ）；A拥有上述产品之“保密资讯”；为促成可能存在的商业交易行为，公司有意更进一步地了解产品和 /或与产品有关的“保密资讯”；根据本协议之条款， A有意对公司披露与产品有关的“保密资讯”。为此，双方协议如下：本协议的序言部分为本协议不可分割的一部分。1. “保密资讯”是指用于商业的、技术的、以及与产品相关或随产品附

2、带的所有有形和无形的资料、图表、文档、软件和硬件，包括但不限于产品本身，无论是实体形 式还是原代码形式。 A 拥有 “ 保密资讯 ” 的专属所有权。2. 尽管有前款之规定，“保密资讯”不包括下列内容：a. 在批露时，已经进入公共领域的 “ 资讯 ” ，或者由非公司的过失批露而随后进入公共领域的 “ 资讯 ” ；b. 在批露时，公司拥有的文件证明其已经知悉该项“资讯”；c. 应以色列（即 A 注册所 在的国家）或 / 和公司注册所在地国的法庭或其它政府机关的法令而批露的 “ 资讯 ” ， 披露的程度和目的都不能超出该法令的范围，同时，公司应优先书面通知 A 法令的内容，以便 A 有时间 寻求适当

3、的保护措施。3. 关于在本协议下由 A 批露给公司的任何 “ 保密资讯 ” ，公司同意：a. 按照协议中约定的目的使用该 “ 资讯 ” 。b. 非经 A 事先书面同意，不得以任何方式拷贝、复制、使用或试图适用、重新设计或反向设计任何 保密资讯 。不得在（为）公司的设备、系统或产品上整合、合并、或以其他方式使用 保密资讯 ；也不允许他人从事上述活动；更不得将任何 保密资讯 销售给他人。c. “ 保密资讯 ” 的批露范围仅限于有必要知道的、因评估资讯所必需的 , 且与公司签定了与本协议类似的保密合同的雇员，除此之外，公司不得将该 “ 保密资讯 ” 批露给其他任何人。4. 公司应采取一切合理措施确保

4、每一位知悉任何 保密资讯 的雇员遵守本协议中之条款和规定。5. 公司应保留并独自控制从 A 获得的任何 “ 保密资讯 ” ，并应象保护自己的保密资讯那样尽一切方法保护其不被丢失、复制或转让。6. 公司同意当 保密资讯 有任何意外遗失（包括被未经授权的人传送或使用）时，立即通知 A 。7. 本协议或本协议下批露的资讯既不认可也不暗示授予公司关于商标、专利保护或其他知识产权的许可，包括但不限于生产、使用或销售包含了任何 “ 保密资讯 ” 的产品的许可。就商标、专利、版权或其他知识产权的非侵犯问题， A 未作任何陈述、担保和保证。8. 本协议期满或在本协议期内应 A 的要求，公司应把所拥有的 “ 保

5、密资讯 ” （ 包括所有的复印件和备份）退还给 A ， 未经 A 书面许可，不得再继续使用该 “ 保密资讯 ” 。9. 本协议以及“保密资讯”的批露或接受都不能解释为 A 一方有义务对公司提供 “ 保密资讯 ” 或者与公司达成任何附加的协议或与其保持合作关系。10. 双方一致同意：任何未经授权使用任何 “ 保密资讯 ” 和（或）产品本身违反本协议，将导致 A 无法弥补的损失，在法律上可能得不到足够的救济。据此，在违约时， A 除可获得一般的救济和补偿外还有权申请立即禁止令。 如果 A 为维护其利益，依照本协议提起诉讼，除损害赔偿金外，还有权要求合理的律师费用及与此相关的其它费用和开销。11.

6、“ 保密资讯 ” 的保密和不披露义务应在自该 “ 保密资讯 ” 被披露之日起五年后终止。在此期间，无论本协议因何种原因终止（包括诉因和协议期限届满），该义务仍然存在。协议双方在此签字立约：A 公司签字 :_ 签字 :_姓名 :_ 姓名 :_职务 :_ 职务 :_Made this _ day of the month of _ 2003.Between: A, a company duly organized and existing under the laws of Israel, whose principal office is at_, Israel (hereinafter - A

7、); and,Between: _ a company dulyOrganized and existing under the laws of _, whoseRegistered office is at: _(Hereinafter - Company):WHEREAS A develops and owns a range of proprietary software and hardware products and technologies for wireless device enhancements (hereinafter - the Products); andWHER

8、EAS A has confidential information relating to the Products; andWHEREAS The Company has shown an interest in learning more about the Products and/or confidential information relating to the Products in order to consider a possible business course of action; andWHEREAS A is willing to provide the Com

9、pany with confidential information relating to the Products under the terms and conditions of this Agreement.NOW THEREFORE, the parties hereto, declare and agree as follows:-The preamble to this Agreement constitutes an integral part of the Agreement itself.1. Confidential Information is defined as

10、any and all information, drawing, diagrams, documentation, software and hardware disclosed in tangible and intangible form, whether of a commercial, technical or other nature which relate to and/or accompany the Products, including without limitation, the Products themselves, whether in object form

11、or in source code. All Confidential Information is hereby acknowledged to be proprietary to and the property of A.2. Notwithstanding any of the aforesaid, Confidential Information shall not include any information which Company can demonstrate:a. is in the public domain at the date of disclosure or

12、subsequently becomes so through no fault of the Company; orb. is already known to Company at the time of disclosure, as evidenced by documentation in Companys possession; orc. is disclosed in response to a valid order of a court or other governmental body in Israel (A country of incorporation) and/o

13、r Companys country of incorporation, but only to the extent of and for the purposes of such order; provided, however, that Company shall first notify A in writing of the order and permit A to seek an appropriate protective order.3. With respect to any Confidential Information disclosed hereunder, by

14、 A to the Company, the Company agrees as follows:a. To use such information for purposes only listed in this agreement.b. Not to copy, reproduce, use or attempt to implement, re-design or reverse engineer any of the Confidential Information in any way, except after receiving A prior written approval

Not to integrate, incorporate, or make any use of the Confidential Information in and/or for the Companys equipment, systems or products; not to allow others to do so and not to sell or market any such Confidential Information to others.c. Not to disclose or otherwise transfer such information to

16、any third party and to limit any disclosure only to those of its employees who have a need to know and are necessary to evaluate the information and have signed on a non-disclosure and confidentiality contract with the Company upon similar terms to those contained in this Agreement.4. Company shall

17、use all reasonable means to ensure that each of its employees to whom any part of the Confidential Information is disclosed, observes the terms and conditions set out in this Agreement.5. Company shall retain any Confidential Information received from A under its sole control and shall protect it as

18、 if it were its own including using all reasonable means to prevent its loss, copy or transfer.6. It is agreed that Company will immediately inform A of any accidental loss of the Confidential Information, including transfer or use by persons not authorized.7. No license to Company of any trademark,

19、 patent protection right or any other intellectual property right is either granted or implied by this Agreement or any disclosure hereunder, including, but not limited to, any license to make, use or sell any product embodying any Confidential Information. No representation, warranty or assurance i

20、s made by A with respect to the non-infringement of trademarks, patents, copyrights or any other intellectual property rights or other rights of third persons.8. Company shall return to A any and/or all Confidential Information in its possession at the end of this Agreement, or earlier upon the requ

21、est from A, together with all copies and other reproductions and will make no further use of it without the written permission of A.9. Neither this Agreement nor the disclosure, or receipt of Confidential Information, shall be construed as creating any obligation on the part of A to furnish its Conf

22、idential Information to the Company or to enter into any additional agreement or relationship with Company.10. The parties agree, that any unauthorized use of any of the Confidential Information and/or the Products themselves in violation of this Agreement, will cause A irreparable injury for which

23、it would have no adequate remedy at law. Accordingly, A shall be entitled to immediate injunctive relief prohibiting any violation of this Agreement, in addition to any other rights and remedies available to A for breach of this Agreement. In the event that A brings any action to enforce any of its

24、rights under this Agreement, it shall be entitled to recover, in addition to damages, reasonable attorneys fees and costs incurred in connection therewith.11. The obligations of confidentiality and non disclosure with respect to Confidential Information shall terminate 5 (five) years after the date on which such Confidential Information is disclosed, such obligations to survive termination of this agreement for any reason, including cause and end of term.NOW THEREFORE, the parties hereto have set their hands:A COMPANYBy:_ By:_(Signature) (Signature)Name:_ Name:_Title:_ Title:_A/doc/NDA.doc
