2、 CHINA,with its head office located at:XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX AND:ICRAFT.,LTD(the“Party B”),a corporation organized and existing under the laws of the REPUBLIC OF KOREA,with its head office located at:12F DOOSAN B/D 105-7,Nonhyeon-dong,Seoul,KOREA 签订协议一方 XXXXXXXXXXXXXXX（以下简

3、称“甲方”），一家依据中华人民共和国法律 组建并续存公司，其营业地址位于：XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX 另一方：爱工艺（韩国）股份有限公司（以下简称“乙方”），一家依据大韩民国 法律组建并续存公司，其营业地址位于：韩国 首尔市，江南区，论岘洞 105-7 斗山大厦12F In consideration of the terms and covenants of this agreement,and other valuable consideration,the parties agree as follows:鉴于本协议所含之相互约定和

4、承诺，订约双方协议如下：1.RECUTALS a.Both parties desire to join together for the pursuit of common business goals.b.Both parties have considered various forms of joint business enterprises for their business.c.Both parties desire to enter into a co-operation agreement as the most advantageous business form for

5、 their mutual purpose.一 事实陈述 a.合作双方欲联合起来追求共同所需商业目标。b.合作双方已经就其经营业务考虑了各种形式合作方式。c.合作双方欲就其互利目标达成一项合伙协议作为其最佳商业形式。2.RESPONSIBILITIES&RELIABILITIES Party A -According to the information of XXXX business access standards,investment environment and tax policy which provided by Party B,Party A shall recommend

6、 the high-quality companies from 战略合作框架性协议中英文 China to conduct business through Party B in XXXX.-Provide the full documentations of Chinese companies to conduct business in XXXX.-Ensure the authenticity and legality of all the documentation provided by the Chinese companies.-As authorized by Party B

7、,Party A is responsible to the signing and interpretation of various documents for mutual business.-Assist Party B to conduct the business promotions and publicities in China.Party B -Party B shall provide all the financial support on their business in China;it includes business initiation,managemen

8、t and promotion.-As Party A shall refer the Chinese Companies to Party B.Party B shall provide these companies the consultant services regarding legal,audition,taxation,financial,risk management,accounting and other related areas.-In order to establish the intensiveness business co-operation.Party B

9、 shall provide all the business related documents,information,legal acts and governmental information in XXXX for the reference of Party A.-Party B shall provide a systematic training course on XXXX businesses SOP(Standard Operation Procedure),XXXX law&Tax regulations and IIM Billing system for Part

10、y A employees.二 责任与义务 甲方 -甲方根据乙方所提供XXX业务进入标准、投资环境以及税收政策，为乙方推荐中国国内优质企业到乙 方公司开展业务。-提供中国公司在XXXX 进行业务所需所有文件。-确保中国公司文件真实性、合法性。-负责乙方在中国业务各种文件签署、解释工作。-协助乙方在中国展开相关业务推广及宣传。乙方 -乙方将提供其相关项目所有开展、管理及推广业务资金。-甲方所推荐到XXXX 地区企业，乙方须为其提供后续经营、管理、法律法规咨询、会计及其他相关顾问服务工作。-乙方根据甲方在中国开展业务需要，提供一系列必要宣传类资料，包含当地税收政策、投资环境分析、乙方公司官方宣传材

11、料等。-乙方须向甲方特定人士进行XXXX 当地业务标准操作步骤、政府法律/税则规定及IIM收费系统培训课程。3.COMMUNICATION STRUCTURE For a better future business development,Party A and Party B shall establish a regular meeting schedule for the business assessment,business flow and information exchange.方以下简称甲方一家依据中华人民共和国法律组建并续存公司其营业地址位于另一方爱工艺韩国股份有限公司以

12、下简称乙方一家依据大韩民国法律组建并续存公司其营业地址位于韩国首尔市江南区论岘洞斗山大厦鉴于本协议所含之业务考虑了各种形式合作方式合作双方欲就其互利目标达成一项合协议作为其最佳商业形式战略合作框架性协议中英文二责任与义务甲方甲方根据乙方所提供业务进入标准投资环境以及税收政策为乙方推荐中国国内优质企业到乙方件签署解释工作协助乙方在中国展开相关业务推广及宣传乙方乙方将提供其相关项目所有开展管理及推广业务资金甲方所推荐到地区企业乙方须为其提供后续经营管理法律法规咨询会计及其他相关顾问服务工作乙方根据甲方在中国战略合作框架性协议中英文 三 业务沟通交流机制 为了将来更佳业务拓展，甲、乙双方须定时展开会

13、议，进行业务发展评估、流程及信息交流。4.CONVENANT AGAINST REVEALING TRADE SECRETS No party shall,during the continuance of the co-operation relationship or for 5 years after its termination by any means,divulge to any person not a member of both firms any trade secret or special information employed in or conductive t

14、o the co-operation business and which may come to the both partys knowledge in the course of the co-operation relationship,without the consent in writing of the other party,or of the other partys heirs,administrators,or assigns.四 保守商业秘密承诺 在甲、乙双方展开合作业务存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或其继承人、管理者或受让人书面同意

15、，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或有助于合作业务信息，在合作业务运营过程中，该信息可能会成为合作双方专有知识。5.DURATION OF AGREEMENT The term of this agreement shall be for 1 year,commencing on DATE,and terminating on DATE,unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement.五 协议期限

16、 本协议期限为1年，从2017 年1月1日开始到2018 年1月1日结束，除非甲、乙双方同意或本协议条款规定可终止该协议。6.GOVERNING LAW The enforcement and interpretation of this agreement shall be governed by the laws of THE PEOPLES REPUBLIC OF CHINA.六 法律适用 本协议实施和解释适用于中华人民共和国法律。7.RESOLUTION OF DISPUTES Any dispute arising out if or in connection with this

17、Agreement,shall be governed and construed by the laws of the PEOPLES REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION,and shall be referred to and finally resolved by China Beijing District Court,P.R.C.七 争议解决方案及管辖 所有因履行本协议引起，与之相关或不能够通过协商解决争议及纠纷，任何一方均可将争议提交中国国际经济贸易仲裁

18、委员会，并且依照中华人民共和国规定，在北京通过仲裁方式进行解决。8.PREVAIL OF LANGUAGE VERSION Any contradiction between Chinese and English version,Chinese version shall prevail.八 中文及英文版本间效力 所有因中、英文版本引起矛盾及争议，以中文版本为准。9.OTHER PROVISION Both parties will be based on actual needs of the business co-operation to sign the specific busin

19、ess contracts and execute accordingly.If there are inconsistencies between the contract and this agreement,the contract shall prevail.九 其他事项 甲乙双方将根据实际需要在实际业务合作时签订具体业务合同，并按合同约定执行。如具体业务合同存方以下简称甲方一家依据中华人民共和国法律组建并续存公司其营业地址位于另一方爱工艺韩国股份有限公司以下简称乙方一家依据大韩民国法律组建并续存公司其营业地址位于韩国首尔市江南区论岘洞斗山大厦鉴于本协议所含之业务考虑了各种形式合作方式
