Many trade disputes will occur inevitably

2、in the course of international commercial activities due to the different regulations of international trade in the various countries. The international commercial law will play a very important role in adjusting the international commercial relationsThe teaching mission of this course is to help st

3、udents to master the knowledge of law in the international trade activities, analyze the issues occurred in the international trade and be able to deal with some basic problems of international trade independently through the study of this course.二、课程主要内容与基本要求Chapter 1 IntroductionUnderstand the dif

4、ferent municipal legal systems. Be familiar with the theories of international trade and the sources of international commercial law. Master the definition of international commercial law and its relationships with other related laws.Chapter 2 GATT and WTOUnderstand thel947 General Agreement on Tari

5、ffs and Trade and multilateral trade negotiations. Be familiar with the basic structure of WTO and the 1994 General Agreement on Tariffs and Trade. Master the fundamental principle of GATT1994.Chapter 3 Trade TermsUnderstand the three types of trade terms. Be familiar with the incoterms 1990 and 200

Master both parties rights and obligations and the time for transferring the risks of loss of goods in each trade term in the incoterms 2000.Chapter 4 SalesUnderstand the transactions covered in CISG and the contractual issues excluded from the coverage of CISG. Be familiar with the procedures of

7、 importation and exportation, the general standard of performance and the excuses for nonperformance. Master the formation of the contract, the buyer? s and seller s obligations, the passing of risks and remedies for breach of contract.Chapter 5 TransportationUnderstand the three kinds of carriage o

8、f goods, the conventions that regulate the inland carriage and carriage of goods by air and the characters of charterparties. Be familiar with the carriage of goods by sea and the three rules that regulate bill of lading. Master the legal characters of bill of lading.Chapter 6 Payment of tradeUnders

9、tand the instruments that used in the payment of international trade and the three modes of payments. Be familiar with the characters of bill of exchange and promissory notes. Master the characters of collection arrangement and letters of credit and the stages of using the mode of letter of credit i

10、n the trade payment.Chapter 7 Insurance of Goods in TransitUnderstand kinds of marine policies and two principal methods for the insurance of cargo sent by air. Be familiar with the three parties occurred in the process of concluding the marine insurance contract.Chapter 8 International trade disput

11、e settlementBe familiar with the definition and characters of negotiation, mediation, arbitration and litigation. 15、程的地位与任务随着全球经济的发展，国际商事活动也变得越来越频繁。由于各国法律对国际贸易规定 的不同，在国际商事活动过程中不可避免地会出现很多贸易纠纷，国际商法将对调整国际商 事关系起到极其重要的作用。本课程的教学任务，在于使学生通过本课程的学习，掌握国际贸易活动中的有关法律知 识，分析在国际贸易中出现的问题，并能够独立地处理一些最基本的国际贸易法律问题。二、课程主要内容与基本要求第一章导论了解各个不同的法系；熟悉国际贸易的理论和渊源；掌握国际商法的概念 和其与别的相关法律的关系。第二章GATT和WTO了解1947关税与贸易总协定以及多边贸易谈判；熟悉WTO组织的基本框 架和1994关税与贸易总

16、协定；掌握GATT 1994的基本原则。第三章贸易术语了解三种不同类型的贸易术语；熟悉incotermsl990和incoterms2000； 掌握incoterms2000中每个贸易术语下双方当事人的权利义务和货物风险转 移的时间。第四章销售了解CISG所适用的交易和CISG排除的合同问题；熟悉进出口流程、合同 的一般履行标准和免责事由；掌握合同的形成、买卖双方的义务、风险转移和 违反合同的救济方式。第五章运输了解三种货物运输方式和调整内陆和航空运输的公约；了解租船合同的特 征；熟悉海上货物运输以及调整提单的三个规则；掌握提单的法律特征。第六章贸易支付了解在国际贸易支付过程中所适用的工具以及
